Large Financial Institution seeks to attract an accomplished Corporate Finance professional to join a senior management team and drive a range of transactions from single asset disposals to large portfolio disposals and whole business exits which can be up to several billion pounds in size.
Key responsibilities include:
* Leading "due diligence" type investigations into disposal businesses to understand the value drivers and financial results of businesses planned to be disposed of and advising on the key actions required to maximise value during the sale/wind-down process
* Leading ad-hoc projects relating to disposals, run-off and other issues as required to understand and articulate key issues impacting business performance
* Working with the business and other support functions to co-ordinate the financial impacts of large, complex disposals including the implications for capital, P&L, balance sheet funding and tax. This will involve:
* Liaison with the deal team and accounting, tax, legal, regulatory and treasury functions to understand and present the financial implications of key disposals
* Challenge to the robustness of financial content of key deal documentation
* Liaison with internal and external advisors to obtain relevant input and
* Suggesting improvements in processes and controls to the Head of Transaction Support to support and control the financial information flows
* Preparation of in-house "due diligence" reports on disposal businesses highlighting key issues - suitable for presentation at board level
* Preparation of financial impact assessment for material disposals and ensuring escalation of key issues arising therein to the Head of Transaction Support.
* Informing the Head of Transaction Support of any potential wider group financial implications of the proposed transactions for escalation to the executive appropriate.
Required
Track record of delivery in a transaction based environment (e.g. ex Big 4 Transaction Services or Corporate Finance at Senior Manager/Associate Director level)
Proven experience in transaction structuring including ability to interpret and challenge accounting, tax, regulatory and treasury implications of transactions
Strong working knowledge of investment banking instruments
Good understanding of IFRS requirements particularly IAS 39
Strong excel and power point skills
